Casino Entertainment Services Addendum

These Casino Entertainment Services Terms & Conditions (“Casino Terms”) are supplemental terms that apply whenever KWB Entertainment Inc. (“KWB”) provides casino tables, casino-themed entertainment, dealers, gaming equipment, chips, cards, tournament services, casino event staffing, or related services (“Casino Services”).

These Casino Terms are an addendum to the applicable KWB Entertainment Inc. Event Services Agreement and do not replace KWB’s general Event Services Terms & Conditions.

Depending upon the Client’s payment arrangement, the Event Agreement is also governed by one of the following:

These Casino Terms address matters unique to Casino Services. Except where these Casino Terms specifically modify a provision relating to Casino Services, all applicable provisions of the governing Event Services Terms & Conditions remain in full force and effect.

1. Casino Entertainment Services

The specific casino tables, games, equipment, personnel, service hours, setup requirements, and other Casino Services being provided will be identified in the applicable Event Services Agreement, proposal, quote, or confirmation (“Event Agreement”).

Only Casino Services specifically identified in the Event Agreement are included in the contracted price.

The number and type of casino tables, dealers, chips, cards, accessories, and supervisory personnel provided will be based upon the Event Agreement and KWB’s operating requirements.

2. Casino-Themed Entertainment and Gambling Compliance

Unless KWB expressly agrees otherwise in writing and the activity is permitted by applicable law, Casino Services are provided as casino-themed entertainment only.

Casino chips, gaming currency, markers, credits, or similar items supplied by KWB have no cash value and may not be redeemed through KWB for money, merchandise, property, or anything else of value.

KWB does not operate an unlawful gambling establishment, accept wagers on behalf of participants, provide gambling winnings, or redeem casino chips for cash.

Client may not require KWB personnel to conduct any game, wagering format, prize structure, raffle, drawing, auction, tournament, or other activity that KWB reasonably believes would violate applicable law, governmental regulation, licensing requirements, or venue rules.

3. Client Responsibility for Event Format, Prizes and Fundraising

Client is responsible for the legal structure of Client’s event, including admission charges, fundraising activities, prizes, raffles, drawings, auctions, donations, participant purchases, and any relationship between casino play and the awarding of money, merchandise, prizes, raffle entries, or anything else of value.

KWB’s provision of Casino Services does not constitute legal advice or a representation that Client’s proposed fundraising, prize, raffle, or promotional structure complies with applicable law.

Client is responsible for obtaining any licenses, registrations, approvals, permits, authorizations, or legal advice required for Client’s event unless the Event Agreement specifically states that KWB will obtain a particular authorization.

KWB reserves the right to require modification of a proposed casino format, decline to provide a particular game or activity, or discontinue an activity if KWB reasonably determines that the proposed operation may be unlawful or inconsistent with applicable regulatory requirements.

4. Charitable Gambling Events

Casino-themed fundraising events may be subject to special federal, state, and local laws and regulations.

When Client intends to conduct an event as a regulated charitable gambling fundraiser, Client must notify KWB before entering into the Event Agreement and sufficiently in advance of the event to allow applicable regulatory requirements to be reviewed.

Client is responsible for obtaining all registrations and event approvals required of the nonprofit organization or event sponsor.

KWB will provide regulated charitable gambling equipment or services only when KWB determines that the applicable event, games, supplier requirements, and necessary approvals are consistent with applicable law.

Games or activities permitted at an ordinary entertainment-only casino party may not necessarily be permitted at a regulated charitable gambling fundraiser.

5. Age Restrictions

Client is responsible for enforcing any age restrictions required by applicable law, the venue, Client’s organization, or the particular event format.

Where applicable law requires casino participants to be at least twenty-one (21) years of age, Client is responsible for restricting participation accordingly.

KWB personnel may refuse participation when reasonably necessary to comply with applicable age restrictions.

6. Casino Chips and Gaming Currency

Casino chips and gaming currency supplied by KWB remain the property of KWB unless specifically stated otherwise in the Event Agreement.

Casino chips are provided solely for operation of the contracted Casino Services and may not be sold, exchanged for cash, removed in unreasonable quantities, altered, duplicated, or represented as having monetary value.

KWB may determine starting chip amounts, chip denominations, table minimums, table maximums, rebuy procedures, tournament structures, and other operating procedures unless a particular structure has been agreed to in advance.

7. Rules of Play

KWB may use simplified, modified, promotional, tournament, or entertainment-oriented rules appropriate for social casino events.

Casino games provided for entertainment purposes are not represented as being identical to games, procedures, payouts, house rules, or regulatory standards used by any particular commercial or tribal casino.

KWB dealers, pit personnel, and event supervisors have authority to interpret the applicable entertainment rules, correct obvious dealing or chip errors, resolve routine disputes, and maintain orderly operation of the tables.

The decision of KWB’s designated supervisor concerning entertainment game procedures will be final for purposes of operating the event, subject to correction of an obvious error.

8. Dealers and Casino Personnel

KWB will provide the casino personnel identified or reasonably required by the Event Agreement.

KWB may assign or substitute qualified dealers, pit personnel, cashiers, tournament directors, supervisors, or other casino personnel as reasonably necessary.

Unless a particular individual is expressly guaranteed in the Event Agreement, Client is purchasing Casino Services from KWB and not the personal services of any specific dealer or employee.

9. Dealer Breaks

Casino personnel may receive reasonable breaks during the contracted service period as required by law, staffing needs, event duration, and operating conditions.

KWB will make reasonable efforts to rotate personnel or otherwise minimize interruption to casino play when staffing permits.

10. Tips and Gratuities

Gratuities are not required unless specifically stated in the Event Agreement.

If Client or an event guest chooses to provide a voluntary gratuity to a dealer or other casino staff member, the gratuity should be clearly identified as a tip or gratuity and provided separately from casino chips or gaming currency.

Casino chips supplied for entertainment play may not be used as employee compensation or redeemed by KWB personnel for cash.

11. Table and Equipment Placement

Client must provide adequate space for the casino tables and equipment identified in the Event Agreement, including sufficient space for players, dealers, chairs where applicable, pedestrian traffic, and safe operation.

Final placement of casino tables and equipment is subject to reasonable safety, access, venue, electrical, flooring, emergency-exit, and operational requirements.

KWB may decline to place equipment in a location that KWB reasonably believes is unsafe, inaccessible, likely to damage the equipment, or inconsistent with venue requirements.

12. Stairs, Elevators and Difficult Access

Client must disclose before the event any stairs, elevators, long-distance loading routes, restricted loading areas, narrow doorways, uneven terrain, remote setup locations, or other conditions that may materially affect delivery or removal of casino equipment.

Casino tables and related equipment may be large, heavy, or difficult to transport. KWB is not required to move equipment through a route that KWB reasonably determines is unsafe or unsuitable.

Previously undisclosed access conditions that require additional personnel, labor, equipment, or time may result in additional charges.

13. Setup and Venue Access

Client must provide KWB with sufficient access to the venue before the contracted casino start time for unloading, setup, inspection, staffing, and preparation of the Casino Services.

Client is responsible for providing accurate venue information, directions, loading instructions, parking information, security requirements, access credentials, and venue contact information.

KWB is not responsible for a delayed casino start caused by inaccurate directions, unavailable loading access, security delays, inaccessible event space, venue restrictions, other vendors occupying the setup area, or other conditions outside KWB’s reasonable control.

14. Contracted Casino Hours

Casino operating hours begin and end according to the times stated in the Event Agreement.

If Client’s program, dinner, presentation, entertainment, venue delay, or other activity causes casino play to begin later than scheduled, the contracted ending time does not automatically change.

An extension may be provided when personnel, venue requirements, scheduling, and equipment availability permit and may result in overtime charges under the governing Event Services Terms.

15. Delayed Breakdown or Equipment Removal

Client must allow KWB reasonable access to casino equipment promptly after the contracted service period for breakdown, loading, and removal.

If KWB personnel and equipment are required to remain at the venue beyond the reasonably anticipated removal period because of Client, venue restrictions, another performance, blocked access, security requirements, dual locations, or other circumstances outside KWB’s control, additional labor or overtime charges may apply.

16. Guest Conduct

Client is responsible for maintaining reasonable control of Client’s attendees and guests.

Guests may not intentionally damage casino equipment, steal or improperly remove equipment, harass or threaten KWB personnel, interfere with game operation, climb or sit on gaming tables, throw chips or equipment in a dangerous manner, or engage in conduct that creates an unreasonable safety risk.

KWB personnel may refuse service to an individual whose conduct materially disrupts the event, threatens personnel or guests, damages equipment, or creates unsafe conditions.

Serious or continuing misconduct may result in suspension of an individual table or Casino Services as provided by the governing Event Services Terms.

17. Equipment Damage, Loss and Missing Items

Casino tables, layouts, chips, cards, dealing shoes, discard holders, roulette equipment, accessories, signs, electronics, and other casino equipment remain the property of KWB or its applicable rental provider unless expressly stated otherwise.

Client is responsible for loss of or damage to casino equipment caused by Client, Client’s employees, attendees, guests, contractors, or other persons under Client’s control, excluding ordinary wear and tear and damage caused by KWB personnel.

Reasonable repair or replacement charges may apply to damaged, destroyed, or missing equipment.

18. Food, Beverages and Smoking Near Casino Equipment

Client agrees to take reasonable measures to protect casino equipment from excessive food, beverages, smoke, open flames, and other substances or activities likely to damage the equipment.

KWB may restrict beverages, food, smoking, candles, or similar hazards from being placed directly on casino tables or equipment.

19. Outdoor Casino Events

Casino equipment is generally intended for use in a protected environment.

For outdoor events, Client must provide a suitable level, stable, dry, and protected setup area and appropriate protection from rain, moisture, excessive wind, extreme temperatures, direct irrigation, dirt, or other conditions that could damage casino equipment or create unsafe operating conditions.

KWB may refuse to set up, temporarily suspend operation, relocate equipment, or discontinue Casino Services when environmental conditions present an unreasonable risk to personnel or equipment.

20. Electricity and Specialty Equipment

Most traditional casino tables do not require electrical power. However, specialty tables, electronic equipment, displays, lighting, slot-style entertainment equipment, or other accessories may require electricity.

When electrical power is required, Client must provide suitable power within a reasonable distance of the setup location unless other arrangements are stated in the Event Agreement.

21. Estimated Guest Counts and Table Capacity

Recommendations concerning the number of casino tables, dealers, or games are estimates based upon information provided by Client and KWB’s experience with similar events.

KWB does not guarantee that every guest will be able to play continuously or that there will be no waiting for a particular game, especially when attendance exceeds the estimated guest count or guests disproportionately prefer certain games.

Client should notify KWB promptly of material changes in anticipated attendance so that additional equipment or staffing may be considered subject to availability.

22. Tournaments and Contests

When KWB is contracted to provide a casino tournament or contest, KWB may establish reasonable tournament procedures, seating assignments, blind structures, chip allocations, advancement procedures, time limits, tie-breaking procedures, and other operational rules unless specific rules have been agreed to in writing.

Client is responsible for the legality, procurement, awarding, and tax treatment of prizes unless the Event Agreement expressly assigns a particular responsibility to KWB.

23. Prizes and Promotional Items

Unless specifically included in the Event Agreement, prizes, raffle items, promotional merchandise, gift cards, cash awards, and other items of value are not provided by KWB.

Client is responsible for determining whether and how prizes may lawfully be awarded in connection with Client’s event.

KWB may decline to participate in any prize or redemption procedure that KWB reasonably believes creates an unlawful wagering or gambling arrangement.

24. Photography, Branding and Custom Materials

When Client requests custom casino layouts, signs, chips, graphics, logos, or other branded materials, Client represents that it has authority to provide and authorize use of the applicable names, trademarks, logos, photographs, artwork, and other intellectual property.

Custom-produced materials may be subject to separate production deadlines, costs, and cancellation restrictions identified in the Event Agreement.

25. No Guarantee of Guest Winnings or Outcomes

Casino games inherently involve chance, probability, player decisions, and varying outcomes.

KWB makes no representation or guarantee regarding the amount of entertainment chips accumulated by any participant, a participant’s ranking, tournament outcome, or any other game result.

26. Conflict With Master Event Terms

These Casino Entertainment Services Terms & Conditions supplement the applicable KWB Event Services Terms & Conditions.

If a provision of these Casino Terms conflicts with the governing Standard Event Services Terms & Conditions or Purchase Order Event Services Terms & Conditions, these Casino Terms will control only with respect to the Casino Service-specific subject addressed by the conflicting provision.

All other provisions of the applicable master Event Services Terms & Conditions remain in effect.

27. Acceptance of Casino Entertainment Terms

These Casino Entertainment Services Terms & Conditions are incorporated by reference into any KWB Entertainment Inc. Event Services Agreement that includes Casino Services and identifies or links to these Casino Terms.

By signing or electronically accepting the applicable Event Agreement, Client acknowledges that Client has had the opportunity to review these Casino Terms together with the applicable KWB Event Services Terms & Conditions and agrees that both form part of the Event Agreement.
