DJ & MC Services Addendum

These DJ & MC Services Terms & Conditions (“DJ Terms”) are supplemental terms that apply whenever KWB Entertainment Inc. (“KWB”) provides disc jockey, master of ceremonies, music, sound reinforcement, microphones, dance-floor lighting, ceremony audio, announcements, event hosting, music programming, or related entertainment services (“DJ & MC Services”).

These DJ Terms are an addendum to the applicable KWB Entertainment Inc. Event Services Agreement and do not replace KWB’s general Event Services Terms & Conditions.

Depending upon Client’s payment arrangement, the Event Agreement is also governed by one of the following:

These DJ Terms address matters unique to DJ & MC Services. Except where these DJ Terms specifically modify a provision relating to DJ & MC Services, all applicable provisions of the governing Event Services Terms & Conditions remain in full force and effect.

1. DJ & MC Services

The specific DJ & MC Services being provided, including service hours, sound equipment, microphones, lighting, ceremony services, event hosting, additional locations, and other enhancements, will be identified in the applicable Event Services Agreement, proposal, quote, or confirmation (“Event Agreement”).

Only services, equipment, personnel, hours, and enhancements specifically identified in the Event Agreement are included in the contracted price.

2. DJ and MC Personnel

KWB will provide qualified personnel appropriate for the contracted DJ & MC Services.

Unless a particular individual is expressly guaranteed in writing in the Event Agreement, Client is purchasing DJ & MC Services from KWB and not the personal services of any specific DJ, MC, technician, or entertainer.

KWB may substitute qualified personnel when reasonably necessary because of illness, emergency, scheduling conflict, availability, or other circumstances.

KWB remains responsible for providing the contracted services notwithstanding an appropriate personnel substitution.

3. Music Programming

KWB will use professional judgment in selecting and programming music appropriate to the nature of the event, Client’s stated preferences, guest response, event schedule, and other relevant circumstances.

Client may provide musical preferences, genres, favorite artists, requested songs, and other guidance before the event.

Client understands that professional DJ programming may require flexibility in song order, genre selection, tempo, timing, and guest requests in order to respond to the event as it develops.

Unless otherwise agreed in writing, a Client-provided playlist will be treated as programming guidance rather than a requirement that every listed song be played.

4. Must-Play Songs and Special Music

Client should identify important must-play songs and special-event music sufficiently in advance of the event.

Special-event music may include, but is not limited to, ceremony selections, wedding-party introductions, first dances, parent dances, anniversary dances, grand entrances, presentations, award music, special dedications, or other scheduled musical cues.

KWB will make reasonable efforts to obtain and prepare requested music that is commercially or otherwise reasonably available.

If a particular recording, remix, edit, live version, custom recording, cultural selection, or uncommon song is important to Client, Client should identify the exact version in advance and may be asked to provide a legally usable digital copy when KWB does not otherwise have reasonable access to it.

KWB is not responsible for playing the wrong version of a song when Client has not clearly identified a specific required version.

5. Do-Not-Play Requests

Client may provide KWB with songs, artists, genres, or other music that Client does not want played during the event.

KWB will make reasonable efforts to honor Client’s do-not-play instructions.

Client should provide important do-not-play restrictions before the event so they can be incorporated into the event plan.

Guest requests that conflict with Client’s established do-not-play instructions may be declined.

6. Guest Music Requests

Unless Client instructs KWB otherwise, guests may request music during the event.

Guest requests are requests only and are not guaranteed to be played.

The DJ may decline a request because of Client instructions, inappropriate content, event timing, music availability, programming considerations, venue restrictions, or the DJ’s reasonable professional judgment.

7. Explicit or Inappropriate Music

Client is responsible for advising KWB of any restrictions concerning explicit lyrics, mature content, particular genres, or other music that may be inappropriate for Client’s event.

When Client requests a family-friendly, school-appropriate, corporate, or clean-music environment, KWB will make reasonable efforts to use available clean or edited versions of songs.

Client understands that commercially released music, including some versions identified as edited or clean, may contain language, themes, double meanings, or content that some individuals consider objectionable.

KWB may refuse to play music that KWB reasonably determines would be unlawful, materially inappropriate for the event, contrary to established Client instructions, or likely to create an unreasonable safety concern.

8. Event Timeline and Coordination

Client should provide KWB with an accurate event timeline and information regarding scheduled activities that affect DJ & MC Services.

This may include ceremonies, introductions, speeches, meals, presentations, performances, first dances, awards, raffles, cake cutting, special announcements, departures, and other scheduled activities.

KWB may make reasonable timing adjustments during the event in cooperation with Client or Client’s authorized representative when circumstances require.

KWB is not responsible for delays resulting from Client, guests, venue staff, catering, photography, performers, speakers, transportation, or other vendors.

9. Master of Ceremonies Services

When MC services are included, KWB may make introductions, announcements, coordinate scheduled activities, communicate event information, and assist with maintaining the planned flow of the event.

Client is responsible for providing accurate names, titles, pronunciations, event details, scripts, schedules, and other information reasonably necessary for announcements.

KWB is not responsible for an incorrect announcement, name pronunciation, title, or other statement resulting from inaccurate, incomplete, illegible, or last-minute information supplied by Client or another authorized event representative.

KWB may reasonably decline to make an announcement that is unlawful, discriminatory, defamatory, threatening, materially offensive, or inconsistent with the nature of the contracted event.

10. Speeches and Microphones

When microphones are included in the Event Agreement, KWB will make reasonable efforts to provide suitable microphone equipment for the intended event use.

Client is responsible for identifying planned speeches, presentations, toasts, ceremonies, or other microphone requirements before the event when reasonably possible.

Guests and speakers must use microphones and related equipment responsibly and follow reasonable instructions from KWB personnel.

KWB may mute, disconnect, or retrieve a microphone when its use is threatening, intentionally destructive, materially disruptive, or likely to damage equipment or create an unreasonable safety risk.

11. Ceremony Audio

Ceremony audio, separate ceremony sound systems, wireless microphones, processional music, recessional music, and similar services are included only when identified in the Event Agreement.

Client is responsible for providing an accurate ceremony timeline, music selections, speaker information, officiant requirements, and other necessary details sufficiently in advance.

KWB cannot guarantee perfect wireless microphone performance in every environment because radio-frequency interference, building construction, competing wireless systems, distance, guest devices, venue electronics, and other conditions may affect wireless equipment.

KWB will make reasonable efforts to test and operate ceremony equipment appropriately under the conditions available at the venue.

12. Contracted Service Hours

DJ & MC Services begin and end according to the times stated in the Event Agreement.

If Client’s event, ceremony, dinner, photographs, speeches, transportation, venue operations, or other activities run late, the contracted ending time does not automatically change.

If Client wishes to continue DJ & MC Services beyond the contracted ending time, overtime may be provided when personnel, equipment, venue requirements, and scheduling permit and will be subject to applicable additional charges.

13. Setup and Breakdown Time

Normal setup and breakdown time reasonably required before and after the contracted performance period is not considered guest entertainment time unless otherwise stated in the Event Agreement.

Client must provide KWB with sufficient access to the venue before the contracted start time for unloading, setup, sound checks, testing, and preparation.

Client must also allow KWB reasonable access after the event for breakdown, loading, and removal of equipment.

14. Delayed Setup or Equipment Removal

Client is responsible for providing timely access to the event location and designated setup area.

If KWB personnel or equipment are delayed because of unavailable event space, another performance, blocked loading access, security requirements, dual locations, venue restrictions, inaccurate instructions, or other circumstances outside KWB’s reasonable control, additional labor or overtime charges may apply when the delay materially increases the time personnel and equipment must remain on site.

15. Venue Access and Loading

Client must provide accurate information concerning the venue, loading areas, parking, stairs, elevators, access restrictions, security procedures, loading distances, setup locations, and other conditions that may materially affect delivery or removal of DJ equipment.

Previously undisclosed conditions requiring additional personnel, labor, equipment, or extraordinary setup time may result in additional charges.

KWB is not responsible for a delayed start caused by inaccurate directions, unavailable access, venue restrictions, security delays, or other circumstances outside KWB’s reasonable control.

16. Setup Area and DJ Booth Location

Client must provide an adequate, reasonably level, safe, and accessible area for DJ equipment.

The setup area must provide sufficient space for the equipment included in the Event Agreement and reasonable access to suitable electrical power.

KWB may adjust or decline a requested setup location when KWB reasonably determines that the location is unsafe, inaccessible, likely to damage equipment, inconsistent with venue requirements, or unsuitable for effective operation.

Once substantial equipment setup has been completed, requests to relocate the DJ system may be declined or may result in additional labor charges.

17. Electrical Power

Client must provide suitable electrical power within a reasonable distance of the DJ setup area unless alternative arrangements are identified in the Event Agreement.

Electrical circuits must be reasonably adequate for the contracted sound, lighting, and related equipment and should not be overloaded by other vendors or venue equipment.

KWB is not responsible for interruptions caused by venue electrical failures, overloaded circuits, power outages, inaccessible outlets, generators supplied by others, or other electrical conditions outside KWB’s reasonable control.

18. Sound Levels and Venue Restrictions

KWB will make reasonable efforts to provide sound levels appropriate for the event, room, audience, and contracted services.

Sound levels remain subject to applicable laws, ordinances, venue policies, property restrictions, safety considerations, and instructions from authorized venue personnel or law enforcement.

KWB may reduce volume when reasonably required because of sound limits, complaints, safety concerns, venue instructions, or governmental requirements.

KWB is not responsible for reduced sound levels, early cessation of amplified music, or other limitations imposed by the venue, property owner, law enforcement, governmental authority, or applicable law.

19. Outdoor Events

For outdoor DJ & MC Services, Client must provide a suitable, level, stable, and protected setup location.

DJ, sound, lighting, computer, and electrical equipment must be protected from rain, moisture, excessive wind, direct irrigation, extreme heat, excessive dust, and other conditions that could damage equipment or create an electrical or physical safety hazard.

A canopy, tent, pavilion, indoor backup location, or other appropriate protection may be required depending upon the event and anticipated conditions.

KWB may delay setup, relocate equipment, temporarily suspend operation, or discontinue DJ & MC Services when weather or environmental conditions create an unreasonable risk to personnel or equipment.

20. Lighting and Special Effects

Dance-floor lighting, uplighting, special effects, projections, or other visual enhancements are included only when identified in the Event Agreement.

Client is responsible for informing KWB in advance of any known venue restrictions concerning lighting, haze, fog, lasers, strobes, projections, electrical equipment, or similar effects.

KWB may modify or discontinue a particular effect when required by venue rules, safety considerations, governmental requirements, equipment limitations, or other circumstances outside KWB’s reasonable control.

21. Music and Technology Availability

KWB maintains access to a broad music library and professional entertainment technology but does not guarantee possession or availability of every song, recording, remix, edit, video, or version ever released.

Certain requested content or features may depend upon internet connectivity, licensing availability, third-party software, subscription services, or other technology outside KWB’s direct control.

KWB will make reasonable efforts to prepare important requested music in advance when Client identifies those selections with sufficient notice.

22. Equipment and Technical Interruptions

DJ & MC Services rely upon professional sound systems, computers, controllers, microphones, mixers, lighting, cables, wireless equipment, and other technology.

Minor or temporary interruptions requiring adjustment, restarting, replacement of a cable, microphone change, computer transition, or similar troubleshooting are considered part of normal technical operation.

If a material equipment issue occurs, KWB will make reasonable efforts to repair, restart, substitute, or otherwise restore the affected service.

KWB is not responsible for interruptions caused by venue power failure, electrical conditions, internet outages, radio-frequency interference, guest damage, governmental action, venue restrictions, or other circumstances outside KWB’s reasonable control.

23. Backup Equipment

KWB may maintain backup or redundant equipment appropriate to the nature and scope of an event; however, not every individual component or specialty item will necessarily have an identical replacement available on site.

When equipment replacement becomes necessary, KWB may substitute reasonably comparable equipment capable of performing the essential contracted function.

24. Guest Conduct

Client is responsible for maintaining reasonable control of Client’s employees, attendees, guests, invitees, and other event participants.

Guests may not climb on, strike, push, move, disconnect, intentionally misuse, or damage speakers, lighting, computers, controllers, microphones, stands, cables, DJ furniture, or other equipment.

Guests may not threaten, harass, assault, or materially interfere with KWB personnel.

KWB may refuse service to an individual whose conduct is threatening, abusive, destructive, materially disruptive, or unsafe.

Serious or continuing misconduct may result in temporary suspension or discontinuation of DJ & MC Services as provided by the governing Event Services Terms.

25. Dancing and Guest Activities

Client understands that dancing and other guest activities are voluntary activities controlled by the individual participants and the event host.

KWB is not responsible for injuries, accidents, altercations, falls, inappropriate conduct, or other guest actions merely because music or entertainment is being provided at the event, except to the extent liability results from KWB’s own negligence or conduct for which liability cannot lawfully be limited.

Client is responsible for maintaining a reasonably safe dance floor and event environment.

26. Equipment Damage, Loss or Theft

Sound systems, computers, controllers, mixers, microphones, lighting, stands, cables, displays, accessories, and other DJ equipment remain the property of KWB or its applicable equipment provider.

Client is responsible for loss of or damage to equipment caused by Client, Client’s employees, attendees, guests, contractors, or other persons under Client’s control, excluding ordinary wear and tear or damage caused by KWB personnel.

Reasonable repair or replacement charges may apply to damaged, destroyed, stolen, or missing equipment.

27. Food and Beverages Near Equipment

Client agrees to take reasonable measures to protect DJ equipment from food, beverages, smoke, open flames, and other substances or activities likely to damage electronic equipment.

KWB may prohibit drinks, food, candles, open flames, or similar hazards from being placed on or immediately adjacent to DJ equipment.

28. Client-Provided Audio, Video or Media

If Client provides music, video, presentations, recordings, slideshows, or other digital media for use during the event, Client is responsible for providing usable files in a timely manner.

Client represents that Client has the right to provide and authorize the requested use of Client-supplied media.

KWB will make reasonable efforts to test important Client-provided media when supplied sufficiently in advance but cannot guarantee compatibility with every file type, device, codec, software platform, or storage medium.

29. Other Performers and Vendors

Client should notify KWB when bands, musicians, singers, performers, presenters, videographers, production companies, or other vendors are expected to connect to, share, move, or otherwise interact with KWB equipment.

Use of KWB equipment by another vendor or performer is not automatically included in the Event Agreement and must be approved by KWB.

KWB may decline any equipment connection or use that KWB reasonably determines could damage equipment, cause technical problems, create unsafe conditions, or interfere with the contracted services.

30. Gratuities

Gratuities are not required unless specifically stated in the Event Agreement.

If Client or an event guest chooses to provide a voluntary gratuity to a DJ, MC, technician, or other event staff member, the gratuity should be provided separately from amounts owed under the Event Agreement and clearly identified as a tip or gratuity.

31. No Guarantee of Guest Participation or Dance-Floor Activity

KWB will make reasonable professional efforts to provide engaging entertainment appropriate to the event and Client’s stated preferences.

KWB does not guarantee a particular level of guest participation, dance-floor activity, audience response, number of dancers, or guest reaction.

Guest participation may be affected by attendance, demographics, event schedule, Client music restrictions, venue layout, alcohol service, competing activities, weather, cultural preferences, guest personalities, and other factors outside KWB’s control.

32. Event-End Announcements and Closing

KWB may make reasonable closing announcements, last-song announcements, transportation notices, venue instructions, or other event-ending communications when appropriate and authorized.

At the contracted ending time, KWB may discontinue music and begin equipment breakdown unless overtime has been approved.

33. Conflict With Master Event Terms

These DJ & MC Services Terms & Conditions supplement the applicable KWB Event Services Terms & Conditions.

If a provision of these DJ Terms conflicts with the governing Standard Event Services Terms & Conditions or Purchase Order Event Services Terms & Conditions, these DJ Terms will control only with respect to the DJ & MC Service-specific subject addressed by the conflicting provision.

All other provisions of the applicable master Event Services Terms & Conditions remain in effect.

34. Acceptance of DJ & MC Terms

These DJ & MC Services Terms & Conditions are incorporated by reference into any KWB Entertainment Inc. Event Services Agreement that includes DJ & MC Services and identifies or links to these DJ Terms.

By signing or electronically accepting the applicable Event Agreement, Client acknowledges that Client has had the opportunity to review these DJ Terms together with the applicable KWB Event Services Terms & Conditions and agrees that both form part of the Event Agreement.
