Equipment & Event Rental Services Addendum

These Equipment & Event Rental Services Terms & Conditions (“Rental Terms”) are supplemental terms that apply whenever KWB Entertainment Inc. (“KWB”) provides rental equipment, event equipment, displays, televisions, projectors, screens, pipe and drape, speakers, lighting, furniture, stands, accessories, staging-related equipment, or other rental items (“Rental Equipment”).

These Rental Terms are an addendum to the applicable KWB Entertainment Inc. Event Services Agreement and do not replace KWB’s general Event Services Terms & Conditions.

Depending upon Client’s payment arrangement, the Event Agreement is also governed by one of the following:

These Rental Terms address matters unique to Equipment & Event Rental Services. Except where these Rental Terms specifically modify a provision relating to Rental Equipment, all applicable provisions of the governing Event Services Terms & Conditions remain in full force and effect.


1. Rental Equipment

The specific Rental Equipment being provided, including quantities, sizes, accessories, delivery requirements, setup services, rental period, and other event-specific details, will be identified in the applicable Event Services Agreement, proposal, quote, confirmation, or rental order (“Event Agreement”).

Only equipment, accessories, delivery, setup, labor, and services specifically identified in the Event Agreement are included in the contracted price.

2. Ownership of Rental Equipment

Unless expressly stated otherwise in writing, all Rental Equipment remains the property of KWB or its applicable equipment provider at all times.

Client receives only a temporary right to possess and use the Rental Equipment during the agreed rental period.

Client may not sell, pledge, transfer ownership of, encumber, conceal, permanently alter, or otherwise represent that Client owns the Rental Equipment.

3. Rental Period

The rental period begins and ends according to the dates and times stated in the Event Agreement.

Rental Equipment must remain available for pickup, return, or retrieval at the agreed time and location.

Extension of a rental period is subject to KWB approval and equipment availability and may result in additional rental or labor charges.

4. Delivery and Pickup

When delivery and pickup are included, KWB will make reasonable efforts to deliver and retrieve Rental Equipment within the agreed service windows.

Client is responsible for providing accurate event location, venue contact information, loading instructions, parking information, access requirements, security procedures, and any other information reasonably necessary for delivery and pickup.

Delivery and pickup times may be affected by traffic, venue access, loading restrictions, security procedures, other vendors, weather, or other circumstances outside KWB’s reasonable control.

5. Delivery Location and Access

Unless otherwise agreed in writing, quoted delivery pricing assumes reasonable vehicle access and a reasonably direct route from the unloading location to the equipment setup or delivery area.

Client must disclose before the event any stairs, elevators, long-distance carries, narrow doorways, uneven terrain, restricted loading areas, loading docks, security checkpoints, remote rooms, difficult access, or other conditions that may materially affect delivery or removal.

Previously undisclosed access conditions requiring additional personnel, equipment, labor, parking, or time may result in additional charges.

6. Client Pickup and Return

When Client is authorized to pick up Rental Equipment directly from KWB, Client is responsible for providing a suitable vehicle and adequately securing the equipment for transportation.

KWB may decline to release equipment when the proposed vehicle, loading method, or transportation arrangement is reasonably considered unsafe or likely to damage the equipment.

Client remains responsible for Rental Equipment from the time it is released to Client until it is accepted back by KWB.

Client is responsible for returning Rental Equipment at the agreed date, time, and location unless other arrangements have been approved.

7. Equipment Inspection and Acceptance

Client should inspect Rental Equipment upon delivery, setup, or pickup when reasonably practical.

Any obvious missing items, significant damage, or material equipment concerns should be reported to KWB promptly.

Use of the Rental Equipment after delivery or pickup generally constitutes acceptance that the equipment was received in reasonably usable condition, except for defects that could not reasonably have been identified at the time of receipt.

8. Equipment Substitution

Unless a specific manufacturer, model, color, design, dimension, or other specification is expressly guaranteed in the Event Agreement, KWB may substitute reasonably comparable Rental Equipment when necessary because of availability, maintenance, damage, transportation issues, or other circumstances.

Substituted equipment will be selected to provide a reasonably comparable essential function whenever practical.

9. Setup and Installation

Setup, installation, assembly, positioning, connection, testing, or removal services are included only when identified in the Event Agreement.

When KWB performs setup, KWB will determine reasonable placement and installation methods based upon Client instructions, venue conditions, safety requirements, equipment specifications, and operational considerations.

Client is responsible for obtaining venue approval for the proposed equipment location and installation method unless otherwise agreed.

10. Client Setup

When Rental Equipment is provided without KWB setup or operation, Client is responsible for proper assembly, placement, connection, operation, and use of the equipment.

Client must follow any reasonable instructions, labels, manufacturer guidance, or operating information supplied with the equipment.

Client may not modify Rental Equipment or use it in a manner inconsistent with its intended purpose.

11. Moving Equipment After Setup

Rental Equipment installed or positioned by KWB should not be moved, relocated, disassembled, reconfigured, or disconnected by Client or guests unless KWB has authorized the change.

Client assumes responsibility for damage, instability, improper operation, or other problems resulting from unauthorized movement, modification, or reconfiguration of Rental Equipment.

12. Safe Use of Rental Equipment

Client is responsible for ensuring that Rental Equipment is used only for its intended purpose and in a reasonably safe manner.

Client must not permit unsafe, abusive, reckless, unlawful, or unauthorized use of Rental Equipment.

Client is responsible for reasonable supervision of guests, employees, contractors, children, or other persons who may have access to the Rental Equipment.

13. Guest Conduct

Client is responsible for the conduct of Client’s employees, attendees, guests, invitees, vendors, contractors, and other persons under Client’s control around Rental Equipment.

Guests may not climb on, hang from, intentionally strike, push, move, disconnect, dismantle, misuse, vandalize, or otherwise damage Rental Equipment.

Client should take reasonable steps to prevent unauthorized persons from entering restricted equipment areas or interfering with installed equipment.

14. Equipment Security

Client is responsible for maintaining a reasonably secure environment for Rental Equipment while it is in Client’s possession or located at Client’s event.

Rental Equipment should not be left unsecured in an area where theft, vandalism, unauthorized access, or misuse is reasonably foreseeable.

Client is responsible for arranging venue security or other reasonable safeguards when circumstances warrant additional protection.

15. Overnight Rentals

When Rental Equipment remains at a venue overnight or during periods when KWB personnel are not present, Client remains responsible for reasonable security and protection of the equipment.

Client is responsible for loss, theft, vandalism, or damage occurring during such periods except to the extent caused by KWB or circumstances for which Client cannot legally be held responsible.

16. Loss, Theft and Missing Equipment

Client is responsible for Rental Equipment and accessories that are lost, stolen, removed, or missing while under Client’s possession or control, except where the loss is caused by KWB or another circumstance for which Client cannot legally be held responsible.

Missing items may include equipment, remotes, cables, adapters, power supplies, stands, connectors, accessories, cases, hardware, drape, bases, poles, or other components supplied as part of the rental.

Reasonable replacement charges may apply to missing or stolen items.

17. Damage to Rental Equipment

Client is responsible for damage caused by Client, Client’s employees, attendees, guests, contractors, vendors, or other persons under Client’s control, excluding ordinary wear and tear and damage caused by KWB personnel.

Client may be responsible for reasonable cleaning, repair, parts, labor, transportation, or replacement costs resulting from damage beyond ordinary wear and tear.

18. Ordinary Wear and Tear

Client will not be charged for ordinary wear and tear resulting from proper and reasonable use of Rental Equipment.

Ordinary wear and tear does not include abuse, misuse, staining, breakage, water damage, unauthorized modification, burns, cuts, theft, excessive dirt, intentional damage, or damage resulting from improper transportation or storage.

19. Cleaning

Rental Equipment should be returned in reasonably similar cleanliness to the condition in which it was provided, allowing for ordinary use.

Additional cleaning charges may apply when equipment is returned with excessive food, beverages, grease, mud, paint, adhesive, wax, glitter, confetti, bodily fluids, smoke residue, or other contamination requiring extraordinary cleaning.

20. Food, Beverages, Liquids and Open Flames

Client agrees to take reasonable measures to protect Rental Equipment from food, beverages, liquids, water, smoke, candles, open flames, pyrotechnics, and other hazards likely to damage the equipment.

Food or beverages should not be placed directly on televisions, speakers, electronics, projectors, lighting equipment, cases, pipe and drape hardware, or other equipment not intended for such use.

21. Outdoor Rentals

Client must notify KWB when Rental Equipment will be used outdoors.

Equipment intended primarily for indoor use may require a tent, canopy, pavilion, weather-rated enclosure, stable flooring, or indoor backup location.

Rental Equipment must be reasonably protected from rain, moisture, irrigation, excessive wind, extreme heat, excessive dust, mud, standing water, and other environmental conditions that could damage equipment or create unsafe conditions.

KWB may refuse to install, require relocation of, remove, or discontinue use of Rental Equipment when environmental conditions create an unreasonable risk to personnel, guests, or equipment.

22. Weather and Wind

Client understands that wind and weather can affect drape, displays, screens, signs, stands, lighting, tents, freestanding equipment, and other rental installations.

KWB may modify, lower, remove, secure, relocate, or decline to install equipment when KWB reasonably determines that wind or weather conditions create an unsafe condition.

Safety-related modification or removal of equipment because of dangerous weather does not constitute improper performance of the rental service.

23. Pipe and Drape

Pipe and drape systems are temporary decorative and space-dividing structures and are not permanent walls, safety barriers, security barriers, crowd-control barricades, structural supports, or load-bearing installations.

Guests and event personnel may not climb on, lean heavily against, hang objects from, pull on, or intentionally move pipe and drape unless the system has specifically been designed and approved for the intended attachment.

Client must notify KWB in advance if signs, decorations, lighting, banners, floral arrangements, or other materials are intended to be attached to pipe and drape.

KWB may refuse attachments that could create instability, damage the drape or hardware, or create an unreasonable safety risk.

24. Drape Condition and Appearance

Event drape is reusable rental fabric and may contain normal wrinkles, folds, minor wear, or reasonable variations resulting from transportation and repeated professional use.

Unless specifically stated otherwise, Rental Equipment is provided as professional event rental equipment and is not represented as brand-new merchandise.

25. Televisions and Video Displays

When televisions or video displays are rented, Client is responsible for providing compatible content sources, devices, accounts, passwords, and internet service unless otherwise identified in the Event Agreement.

Image appearance may vary based upon source resolution, viewing distance, ambient lighting, display technology, connection method, and Client-provided content.

KWB is not responsible for poor-quality or incompatible source content supplied by Client or a third party.

26. Television and Display Stands

Televisions, displays, and monitors mounted on temporary event stands must remain on a reasonably level and stable surface.

Guests may not climb on, hang from, push, pull, rotate, relocate, or otherwise interfere with television stands or mounted displays.

Client must maintain reasonable clearance around displays to reduce the risk of accidental contact or tipping.

27. Projectors and Screens

Projector visibility is affected by ambient lighting, sunlight, projection distance, screen size, source quality, and room conditions.

KWB does not guarantee optimal projector visibility in direct sunlight or environments where Client or the venue cannot reasonably control ambient light.

Client must not move projectors, screens, stands, or related equipment after setup without authorization when doing so could affect alignment, stability, cabling, or safe operation.

28. Speakers and Audio Equipment

When speakers or audio equipment are rented without a KWB technician, Client is responsible for reasonable operation of the equipment and for avoiding excessive input levels, clipping, distortion, improper connections, or other misuse likely to damage speakers or electronics.

Client should follow operating instructions supplied by KWB and may not connect unauthorized equipment when KWB reasonably determines that the connection could damage the Rental Equipment.

29. Lighting Equipment

Rental lighting equipment must be used only in accordance with its intended purpose and reasonable safety procedures.

Client may not alter electrical connections, mounting methods, safety cables, stands, programming, or equipment placement in a manner likely to create a safety or equipment risk.

Venue restrictions concerning lighting, electrical load, mounting, haze, fog, strobes, or similar effects remain Client’s responsibility unless otherwise agreed.

30. Electrical Power

When Rental Equipment requires electricity, Client and the venue must provide suitable electrical service unless KWB has expressly agreed to provide another power source.

Electrical circuits should be properly installed, grounded, accessible, and adequate for the intended equipment.

KWB is not responsible for equipment interruption caused by power outages, overloaded circuits, voltage irregularities, generators supplied by others, damaged venue wiring, or other electrical conditions outside KWB’s reasonable control.

31. Extension Cords and Cable Placement

When KWB supplies power, audio, video, or other cables, Client and guests must not disconnect, relocate, remove protective coverings from, or intentionally interfere with those cables.

Cable routing may be limited by venue requirements, emergency exits, flooring, room configuration, equipment placement, and guest traffic.

32. Internet and Network Requirements

Certain Rental Equipment may require internet or network access for some functions.

Unless dedicated connectivity is specifically included in the Event Agreement, Client or the venue is responsible for providing any required internet service, passwords, network access, or connectivity.

KWB does not guarantee internet speed, bandwidth, availability, or reliability provided by Client, the venue, telecommunications providers, or third parties.

33. Equipment Compatibility

Client is responsible for identifying important compatibility requirements before the rental.

KWB will make reasonable efforts to provide common cables or adapters when specifically included or reasonably anticipated, but does not guarantee compatibility with every laptop, tablet, phone, computer, connector, operating system, device, codec, software platform, or proprietary system.

Specialty adapters or interfaces may require advance notice and additional charges.

34. Dimensions, Measurements and Venue Fit

Client is responsible for providing accurate room dimensions, doorway measurements, ceiling heights, stage dimensions, placement requirements, and other information when those measurements affect equipment selection or installation.

KWB may provide approximate product dimensions upon request, but Client remains responsible for confirming that Rental Equipment will fit within Client’s venue and comply with venue requirements.

Additional charges may apply when equipment must be changed, returned, resized, or reconfigured because of inaccurate information supplied by Client.

35. Venue Approval

Client is responsible for confirming that the venue permits the Rental Equipment and proposed installation.

This may include approval for pipe and drape, televisions, displays, lighting, floor coverings, electrical connections, equipment stands, temporary structures, cable runs, or other equipment.

KWB is not responsible for a venue’s refusal to permit equipment that Client contracted without first obtaining necessary approval.

36. Fire Code, Emergency Exits and Safety Requirements

Rental Equipment may not be installed in a manner that blocks required emergency exits, fire equipment, access routes, or other legally required safety features.

KWB may adjust equipment placement when reasonably necessary to comply with venue rules, fire regulations, safety requirements, or instructions from authorized officials.

37. Unauthorized Repairs or Modifications

Client may not open, repair, modify, paint, drill, cut, permanently tape, glue, staple, screw into, or otherwise alter Rental Equipment without KWB’s prior approval.

If equipment appears to malfunction, Client should contact KWB rather than attempting repairs that could cause further damage or create a safety hazard.

38. Equipment Malfunction

Rental Equipment may occasionally experience a mechanical, electrical, electronic, or technical issue.

Client should notify KWB promptly when a material equipment problem occurs so that KWB has a reasonable opportunity to troubleshoot the issue.

When practical, KWB may provide troubleshooting assistance, repair, replacement equipment, or a reasonably comparable substitute.

KWB is not responsible for equipment problems caused by misuse, unauthorized modification, Client-provided devices, venue power, internet service, guest damage, environmental conditions, or another circumstance outside KWB’s reasonable control.

39. Duty to Report Problems

Client must notify KWB of a material Rental Equipment malfunction, missing component, or safety concern as soon as reasonably practical after discovering the issue.

Client should discontinue use of equipment that appears unsafe or is operating in a manner likely to cause further damage.

Failure to timely report a problem may limit KWB’s ability to correct the issue during the rental period.

40. No Subrental or Transfer

Client may not subrent, loan, transfer, relocate to another event, or provide Rental Equipment to another person or organization without KWB’s approval.

Rental Equipment may be used only at the approved location and for the event or purpose identified in the Event Agreement unless KWB authorizes otherwise.

41. Client Responsibility Until Retrieval

Client’s responsibility for Rental Equipment continues until the equipment has been returned to KWB or physically retrieved by KWB or its authorized representative.

Leaving equipment unattended at a venue, loading dock, lobby, hallway, exterior area, or other pickup location does not transfer responsibility back to KWB until KWB actually takes possession.

42. Pickup Access After the Event

Client must ensure that KWB has reasonable access to Rental Equipment at the agreed pickup time.

Equipment should not be locked inside an inaccessible room, removed from the approved location, obstructed by other equipment, or otherwise made unavailable for pickup.

Additional labor, waiting time, transportation, or return-trip charges may apply when KWB is unable to retrieve Rental Equipment because of Client-controlled access problems.

43. Late Returns

Rental Equipment not returned or made available for pickup at the agreed time may be subject to additional rental charges.

Client may also be responsible for reasonable losses or expenses caused when a late return materially interferes with a subsequent confirmed rental of the same equipment, to the extent permitted by the governing Event Agreement and applicable law.

44. Missing Accessories

Rental Equipment may include remotes, cables, adapters, clamps, bases, poles, power supplies, chargers, cases, mounting hardware, connectors, or other accessories.

Client is responsible for returning all components supplied with the Rental Equipment.

Reasonable replacement charges may apply for missing accessories even when the primary Rental Equipment itself is returned.

45. Decorative Items and Client Attachments

Client must obtain KWB approval before attaching signs, decorations, floral materials, tape, adhesive, hooks, fasteners, banners, lights, fabric, or other items to Rental Equipment when the attachment could damage the equipment or affect stability.

Client is responsible for damage or extraordinary cleaning resulting from unauthorized adhesives, fasteners, paint, decorations, or attachments.

46. Equipment Appearance

Rental Equipment is commercial event equipment intended for repeated professional use and may show reasonable cosmetic signs of prior use.

Minor scratches, marks, finish variations, wrinkles, or cosmetic wear that do not materially affect the equipment’s intended function are not considered defects.

47. Quantities and Inventory

Client is responsible for reviewing the quantities listed in the Event Agreement and ensuring that the ordered equipment is sufficient for Client’s intended event.

Additional equipment requested after confirmation is subject to availability and may result in additional rental, delivery, labor, or transportation charges.

48. Audio Visual & Production Services

When KWB personnel are contracted to actively operate sound, video, projection, lighting, streaming, recording, presentation, or other technical production equipment, KWB’s Audio Visual & Production Services Terms & Conditions may also apply.

49. Conflict With Master Event Terms

These Equipment & Event Rental Services Terms & Conditions supplement the applicable KWB Event Services Terms & Conditions.

If a provision of these Rental Terms conflicts with the governing Standard Event Services Terms & Conditions or Purchase Order Event Services Terms & Conditions, these Rental Terms will control only with respect to the Equipment or Event Rental Service-specific subject addressed by the conflicting provision.

All other provisions of the applicable master Event Services Terms & Conditions remain in effect.

50. Acceptance of Equipment & Event Rental Terms

These Equipment & Event Rental Services Terms & Conditions are incorporated by reference into any KWB Entertainment Inc. Event Services Agreement that includes applicable Rental Equipment or Event Rental Services and identifies or links to these Rental Terms.

By signing or electronically accepting the applicable Event Agreement, Client acknowledges that Client has had the opportunity to review these Rental Terms together with the applicable KWB Event Services Terms & Conditions and agrees that both form part of the Event Agreement.
